Corporate Reorganization – Enel Generación Chile

The reorganization proposal currently discussed by the Board of Directors and the Committee of Directors of Enel Generación, seeks to simplify the corporate structure and, in so doing, create value for all shareholders.

The initiative includes a separation of operations carried out in Chile from those conducted in other Latin American countries with a subsequent merger of the non- Chilean businesses . The result would be two independent companies: Enel Generación and a second company for business outside Chile. The latter is expected to merge with the societies that, in a similar process, will create Chilectra and Enersis.

The society for business in Chile, as the one merged for business in America, will be companies governed by Chilean law, that shall continue to trade on the Santiago Stock Exchange and in the case of ADRs , on the New York Stock Exchange.
